These Terms govern access to and use of the HealthWave website.

These Terms and Conditions ("Terms") govern access to and use of the HealthWave website and any information, features, forms, materials or services made available through it (collectively, the "Site").
By accessing or using the Site, visitors agree to these Terms. If a visitor does not agree, they should not use the Site.
1. About HealthWave
The Site is operated by Healthwave Ventures LLC, a Wyoming limited liability company, which does business as HealthWave. References to "HealthWave" in these Terms mean Healthwave Ventures LLC. HealthWave provides contract manufacturing, product development, formulation, packaging and related services for businesses and other qualified commercial partners.
The Site is primarily intended to provide information regarding HealthWave's manufacturing capabilities and allow prospective partners to inquire about potential projects.
The Site is not an ecommerce store and does not constitute an offer to sell any particular product.
2. Business-to-business use
HealthWave's manufacturing services are intended primarily for businesses, brands, healthcare organizations, product developers and other commercial partners.
Submitting an inquiry does not create a customer relationship, manufacturing agreement, partnership, agency relationship or other contractual relationship between the visitor and HealthWave.
Any manufacturing engagement will be subject to separate written agreements, specifications, pricing, minimum order requirements, payment terms, quality agreements and other applicable documentation.
3. Product and formulation information
The Site may identify ingredients, formulations, delivery formats, product concepts or manufacturing capabilities that HealthWave may be able to develop or manufacture. Such information is provided for general business and informational purposes only.
Listing a compound, ingredient, formulation or delivery format on the Site does not constitute:
- an offer for sale;
- confirmation that a particular product may lawfully be marketed in any jurisdiction;
- FDA approval, clearance, authorization or endorsement;
- a representation that a formulation is appropriate for human use;
- medical advice;
- a recommendation regarding use of any ingredient or product; or
- a guarantee that HealthWave will accept or manufacture a particular project.
Product availability and manufacturing feasibility are subject to technical review, regulatory considerations, ingredient availability, formulation compatibility, production requirements and HealthWave's acceptance of the project.
4. Regulatory responsibility
Customers are responsible for determining the regulatory classification, legal status, labeling requirements, marketing requirements, permitted claims, distribution requirements and lawful use of their finished products in the jurisdictions in which those products will be offered or distributed, except to the extent otherwise expressly agreed in writing.
HealthWave may decline any project in its discretion, including where regulatory, safety, technical, sourcing, quality or other concerns exist.
Nothing on the Site should be interpreted as legal or regulatory advice.
5. FDA registration
References on the Site to an "FDA Registered Facility" or similar language refer only to applicable facility registration status.
Registration with the U.S. Food and Drug Administration does not constitute FDA approval, certification, endorsement, clearance or authorization of HealthWave, its facility, or any product manufactured by HealthWave.
6. GMP references
Any references to GMP, cGMP, certifications, facility standards, quality systems or manufacturing credentials apply only to the facility, operations, products or scope for which the referenced standard or certification is applicable.
Such references should not be interpreted as government approval of any particular product.
7. No medical advice
Nothing on the Site constitutes medical advice, diagnosis, treatment advice, prescribing information or a recommendation regarding any product, compound, ingredient or therapy.
Information concerning delivery systems, ingredients, formulations, absorption or product formats is provided for general informational and manufacturing-development purposes only. Visitors should not rely on the Site to make medical or healthcare decisions.
8. No guarantee of performance
Product performance may vary based on numerous factors, including active ingredient, formulation, dosage, delivery system, storage, packaging, manufacturing specifications and intended application.
HealthWave does not make any universal representation regarding absorption, bioavailability, efficacy, safety or clinical performance of oral dissolvable strips, tablets, nasal sprays or any other delivery system unless expressly stated in a separate written agreement supported by applicable data.
9. Project inquiries
When a visitor submits a Start a Project or other inquiry form, the visitor represents that the information provided is accurate to the best of their knowledge.
Submission of an inquiry does not:
- guarantee project acceptance;
- reserve manufacturing capacity;
- establish pricing;
- establish exclusivity;
- create a manufacturing agreement; or
- obligate either party to proceed.
A project becomes subject to binding commercial terms only when the applicable parties enter into a separate written agreement.
10. Confidential information
Visitors should not submit trade secrets, proprietary formulations, highly sensitive technical information or other confidential information through general website forms unless specifically requested by HealthWave.
Submission of information through the Site alone does not create a confidentiality or nondisclosure obligation. Confidential projects should be discussed directly with HealthWave and, where appropriate, governed by a separate nondisclosure agreement.
11. Intellectual property
The Site and its contents, including the HealthWave name, logo, graphics, designs, text, photographs, videos, animations, user interfaces, layouts and other materials, are owned by or licensed to HealthWave and are protected by applicable intellectual property laws.
Visitors may use the Site for legitimate informational and business evaluation purposes. Without prior written permission, visitors may not:
- reproduce substantial portions of the Site;
- commercially exploit Site content;
- copy HealthWave branding;
- modify or create derivative works from proprietary Site materials;
- scrape or systematically extract Site content;
- misrepresent HealthWave content as their own; or
- use HealthWave intellectual property in a manner that suggests affiliation or endorsement.
12. Acceptable use
Visitors may not use the Site to:
- violate applicable law;
- interfere with Site operation or security;
- attempt unauthorized access to systems or data;
- introduce malware or harmful code;
- submit fraudulent or misleading inquiries;
- impersonate another person or business;
- conduct abusive automated activity; or
- use Site information to engage in unlawful activity.
13. Third-party services
The Site may use or link to third-party platforms, analytics providers, hosting services, communications providers or external websites. HealthWave is not responsible for the content, security, availability or privacy practices of independent third parties.
14. Website availability and accuracy
HealthWave strives to maintain accurate and current information but does not warrant that all Site information will always be complete, current, accurate or error-free.
Manufacturing capabilities, formulations, specifications, minimum order quantities, production capacity, services and other information may change without notice. HealthWave may modify, suspend or discontinue any portion of the Site at any time.
15. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
HEALTHWAVE DISCLAIMS ALL WARRANTIES REGARDING THE SITE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HEALTHWAVE AND ITS OWNERS, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO USE OF, OR INABILITY TO USE, THE SITE.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
17. Indemnification
To the extent permitted by law, visitors agree to indemnify and hold harmless HealthWave and its affiliates, officers, employees and agents from claims, liabilities, damages, losses and expenses arising from misuse of the Site, violation of these Terms, or violation of applicable law or third-party rights.
18. Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.
Any additional venue, jurisdiction, dispute-resolution or arbitration provisions applicable to a manufacturing relationship should be contained in the applicable commercial agreement.
19. Changes to these Terms
HealthWave may update these Terms periodically. Changes become effective when the revised Terms are posted with an updated "Last Updated" date. Continued use of the Site following an update constitutes acceptance of the revised Terms.
